Welcome to HEALTH AND WELLBEING PROJECT INTERNATIONAL LIMITED (H & W). This document contains the terms and conditions that govern your use of our products and services; participation in our HEALTH and WELLBEING segments. By accessing, using or purchasing our services, you agree to be bound by our terms and conditions. If you do not agree to these terms and conditions, please do not use our services.
We reserve the right to modify these terms and conditions at any given time. Any changes will be effective immediately upon posting the revised terms and conditions on our website. Your continued use of our services after any such changes constitutes your acceptance of the new terms and conditions.
Kindly note, any violations to the terms and conditions herein, can lead to the cancellation of your membership. Therefore, thoroughly read through this document to ensure you are fully enlightened on your rights and ours too.

Eligibility

You must be 18 years of age or older to be allowed as our member. If it should be that you are below 18 and your age was falsified to have you register with us, the Company holds the unreserved right to do with your membership as it deems fit

Membership

Membership in the HEALTH segment, is, only upon the payment of 400,000 Naira for either a routine of our General Body Fitness, Abdominal/Back (Core) or Butt Modification exercises. Each routine is a package that runs for 200 days.

To become a member in our WELLBEING segment, you must purchase the least plan of either our General Body Fitness, Abdominal/Back (Core) or Butt Modification Exercise package for 10,000 Naira. Having fulfilled the forgoing conditions, you are eligible to become a member of either our HEALTH or WELLBEING segment.

Membership Agreement for Health and Wellbeing Project International Limited
Membership is open to individuals who meet eligibility requirements and are interested in the services provided by the Company. By registering as a member, you confirm that all information provided during the registration process is accurate and complete.

Nature of Membership
Membership in the Company does not create an employment, agency, or partnership relationship between the member and the Company. Members are volunteers who participate in activities at their own discretion and risk. Members are not employees, agents, or representatives of the Company and are solely responsible for their own actions and activities. They must agree to conduct themselves in a manner that does not harm the reputation or operations of the Company. As such, they must not engage in any fraudulent activities, financial misconduct, or other illegal activities. Members must comply with all applicable laws and regulations while participating in any activities related to the Company.

Membership can be inherited by the next of kin of a deceased member, after due process of verification is followed. Membership can also be sold, after which the seller can only rejoin after 6 months.

Termination of Membership
The Company reserves the right to terminate or suspend a member’s membership at its sole discretion for any breach of this Agreement or other conduct deemed inappropriate. Members may terminate their membership at any time by providing written notice to the Company. Also, when a member fails to register 4 new partners before reaching level 4 (as a result of the efforts of others) their accounts are assumed dormant by the system, and converted. Such persons will lose their account; however, a new one will be given to them by the Company if they wish to renew their dedication (this is applicable only within 3 months of the account's conversation).

Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall be resolved through informal negotiations between the member and the Company. If informal negotiations fail, the dispute shall be settled through binding arbitration in accordance with the rules of the relevant arbitration body in the jurisdiction of the Company. The Company reserves the right to amend this Agreement at any time. Members will be notified of any significant changes via the contact information provided during registration. Continued membership following such notification constitutes acceptance of the amended terms.

This Agreement constitutes the entire understanding between the member and the Company regarding membership and supersedes all prior agreements and understandings. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable. This Agreement is governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered.

Company's Responsibilities

The Company will provide resources, information, and support to facilitate the HEALTH AND WELLBEING activities of its members.
However, the Company does not oversee or manage individual member activities.
Therefore, the Company will not be responsible for any actions, financial transactions, or fraudulent activities conducted by its members. Members are responsible for their own health, safety, and wellbeing while participating in any activities related to the Company.

Before engaging in our exercises, members must ensure they consult their doctors to be pronounced fit or unfit for the physical activity. The Company will not be responsible for injuries of any kind incurred by members during the exercises.

The Company is not liable for any financial losses, damages, or other liabilities incurred by members. The Company is not responsible for monitoring the activities of its members outside of official company events and resources

Fees and Payments

Payment is required to access our services. The fee for access to our HEALTH segment is 400,000 Naira, payable as specified on the Company’s website. Meanwhile, a purchase of the least plan in the HEALTH segment, which is 10,000 Naira, grants you membership in our WELLBEING segment. Once made, all payments are NON-REFUNDABLE under any circumstances. The Company reserves the right to modify service fees with prior notice.

Members are solely responsible for reporting and paying any charges applicable to the rewards they receive. The Company is not responsible for withholding, reporting, or paying any taxes on behalf of members. Members are advised to consult with a tax professional to understand their tax obligations.

Payment of cash rewards begin from level 3, at this level members receive a cumulative 14,000 Naira which is cash reward for level 2 (2,800 Naira) and 3 (11,200 Naira). Encashment should be placed from Wednesdays to Fridays, to enable the processing of payments on Tuesdays. Also, for members to start receiving their rewards they must have sponsored 4 new members, else the rewards will remain in their wallets.

Compensation Plan Structure

The Compensation Plan consists of various levels that members must achieve to earn rewards. Each level has specific criteria and milestones that members must meet to progress and earn associated rewards.
The criteria for each level will be detailed in the Compensation Plan guidelines provided to members. Rewards will be provided to members upon achieving the specified levels in the Compensation Plan.
The type, amount, and form of rewards are presented in documents made available by the Company. Rewards are non-transferable and non-refundable.

Security

These Account Security Terms and Conditions ("Terms") govern the use and security of accounts created and maintained by users of HEALTH AND WELLBEING PROJECT INTERNATIONAL LIMITED. By creating and using an account with us, you agree to comply with these Terms.
Any information that can be used to identify a user, including but not limited to names, addresses, email addresses, phone numbers, and health data are held in confidence by the Company. Provide accurate and complete registration information. Users must provide a valid email address, create a secure password, and supply any other required information. Users agree to keep their registration information accurate, complete, and up-to-date.

Users are responsible for maintaining the confidentiality of their account credentials. They must not share their password or other access information with any third party and must notify the Company immediately of any unauthorized use of their account or any other breach of security.

H & W collects, uses, and stores personal information in accordance with our Privacy Policy. Users consent to the collection and processing of their personal information for the purposes of providing and improving our services. HEALTH and WELLBEING PROJECT INTERNATIONAL LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from unauthorized access to, use of, or alteration of members data or account.

Use of Marketing Properties

Members are not allowed to use HEALTH AND WELLBEING PROJECT INTERNATIONAL LIMITED's marketing properties for any activity other than promote the Company, that is out shirts, hats, logos e.t.c. In the cause of this authorization, these members must present themselves as independent promoters who are solely responsible for their marketing activities. Members are not allowed to produce marketing properties unless when given such permissions by the management.

Marketing materials produced by members should not in any way be used to misrepresent the Company, as such members will face whatever punishment the management sees befitting. HEALTH and WELLBEING PROJECT INTERNATIONAL LIMITED will not be held accountable for damages caused by unofficial marketing properties

Charges

H & W will deduct a withdrawal fee of 2.5% from each withdrawal transaction made by members

MEMBER CODE OF ETHICS FOR HEALTH AND WELLBEING PROJECT INTERNATIONAL LIMITED

Health and Wellbeing Project International Limited is committed to promoting physical health and overall wellbeing through structured exercise programs and community growth. This Code of Ethics outlines the standards and expectations for all members participating in the HEALTH and WELLBEING Segment.

GENERAL PRINCIPLES

Integrity: Members shall act with honesty and integrity in all interactions and communications associated with the project.

Respect: Members shall treat others with respect, dignity, and fairness, fostering a positive and inclusive environment.

Accountability: Members are accountable for their actions and must take responsibility for their participation and behavior within the project.

Confidentiality: Members must respect the privacy and confidentiality of others and the information shared within the project.

HEALTH SEGMENT: ONLINE 200 DAYS EXERCISE PACKAGE

Commitment to Health: Members shall actively participate in the exercise program, striving to complete the 200 days of exercise to the best of their ability.

Supportive Environment: Members should encourage and support fellow participants, promoting a collaborative and motivating atmosphere.

Honesty in Reporting: Members must provide truthful and accurate information about their participation and progress within the program.

Health and Safety: Members should prioritize their health and safety, seeking medical advice if needed before beginning the exercise program and avoiding activities that may cause harm.

WELLBEING SEGMENT: 50 DAYS LEVEL 1-10 REFERRAL PROJECT

Referral System Ethical Recruitment: Members shall engage in the referral process ethically, avoiding any form of coercion, misrepresentation, or undue pressure on potential referrals.

Transparency: Members must provide accurate and complete information about the referral system, including expectations and benefits, to potential recruits.

Timely Referrals: Members are encouraged to bring four new members onboard within five days, but this should be done with consideration and respect for the potential recruits' interests and circumstances.

Team Building: Members should aim to foster a sense of teamwork and shared purpose, ensuring that new recruits are welcomed and integrated into the project smoothly.

COMPLIANCE AND ENFORCEMENT

Adherence to the Code: All members are expected to adhere to this Code of Ethics. Non-compliance may result in disciplinary actions, including suspension or termination of membership.

Reporting Violations: Members should report any violations of this code to the designated ethics committee or project administrators.

Review and Update

This Code of Ethics will be reviewed periodically and updated as necessary to ensure it remains relevant and effective in promoting ethical behavior within the project.
